Terms and Conditions - Affiliate Program Agreement

1. Definitions

In these Terms and Conditions, the following definitions shall apply:

1.1 Company: The Business Growth Association of America

1.2 Affiliate: [Affiliate Name], an individual/entity participating in the Company's affiliate program, having its principal place of business at [Affiliate Address].

2. Affiliate's Obligations

2.1 The Affiliate acknowledges and agrees to actively participate in the Company's affiliate program (the "Program") by promoting the Company's services and products to potential clients and customers.

2.2 As a condition precedent to be eligible for the guarantee described herein, the Affiliate shall submit a minimum of 30 valid requests for services discounts or opportunities for new business through the Company's member section within the annual period commencing on the Effective Date (the "Qualification Period"). Each submission must be made in accordance with the Company's prescribed procedures and forms.

2.3 Additionally, each request for services discounts submitted by the Affiliate must be accompanied by a quote from another legitimate business offering the same or similar services to compare and verify potential cost savings.

3. Company's Performance Guarantee

3.1 The Company hereby guarantees that upon becoming a paid member of the Company's services, the Affiliate will receive a net benefit of at least $10,000 per year in new sales and/or business expense savings (the "Guarantee").

3.2 The Guarantee shall be fulfilled by the Company through the following means:

a) More sales from new clients resulting from the Company's marketing and networking efforts.

b) Discounts obtained within the Company's network, partners, affiliates, and associates for services and products.

3.3 If, at the end of the Qualification Period, the Affiliate has met the requirements set forth in Section 2, and the Company has failed to generate the promised net benefit of at least $10,000 as described in Section 3.1, the Company shall pay the Affiliate the balance necessary to reach the guaranteed amount in cash via direct deposit or check (the "Guarantee Payment").

4. Conditions for Guarantee Claim

4.1 To claim the Guarantee Payment, the Affiliate must provide written notice to the Company within 30 days following the end of the Qualification Period, specifying the alleged shortfall in the net benefit.

4.2 The Affiliate must provide supporting documentation and evidence, as reasonably requested by the Company, to substantiate the claim for the Guarantee Payment.

5. Exclusions and Limitations

5.1 The Guarantee shall not apply to any losses or shortfalls resulting from factors beyond the Company's control, including but not limited to market fluctuations, economic conditions, or force majeure events.

5.2 The Guarantee is not transferable or assignable by the Affiliate.

6. Termination of Agreement

6.1 This Agreement may be terminated by either party with written notice to the other party if there is a material breach of its terms, subject to any cure periods as set forth herein.

7. Miscellaneous

7.1 This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

7.2 This Agreement shall be governed by and construed in accordance with the laws of the state of [Your State], without regard to its conflict of laws principles.
